<p>1. Running the business up until settlement date</p>
<p>It is the Seller&#8217;s responsibility to ensure that the business goodwill is maintained until settlement. Undoubtedly this will include being responsible in operating the business until that date, which will hopefully maintain the value of the business, namely that the patrons of the business continue to frequent it and that the business will maintain its turnover. The seller will normally also introduce the buyer to the business suppliers and customers of the business, especially where the customers are major customers.</p>
<p>2.	Dealing with the stock take</p>
<p>It is customary for a stock take to be carried out jointly by the parties (or by appointed professionals) on, or just prior to, the day of settlement. It is not unusual to have some items excluded from the stock take, as the purchaser may not require such items. Sometimes a maximum stock value is nominated in the Contract. Whatever the agreement, the value of the stock will usually be added to the purchase price.</p>
<p>3.	The settlement process</p>
<p>It is the duty of the parties to ensure that once the residue purchase monies are furnished at settlement that the assets of the business, namely the business name the franchise, the liquor licence and the plant and equipment are transferred to the purchasing party.</p>

<p>The specific use of the premises is a matter that is often not properly considered by the incoming tenant. It allows the lessor to constrain the use of the premises, which may make it extremely difficult to assign the lease to another type of business down the track. It is therefore quite important in most cases to adopt a broad use of the premises in the lease schedule. Conversely, if your retail premises are going to be in a shopping centre, it might be wise to negotiate restrictions on the number of businesses in your field that are permitted to come into the shopping centre later. By way of example, if you are a gift store business, any one shopping centre will usually only be able to commercially accommodate a specified number of gift stores, and if there are too many your turnover is likely to be substantially limited.</p>
<p>The type of rent review is important to the extent that the agreeing to a rent review process which is too generous will carry a significant cost over the longer term. A fixed rent review should only be agreed at a level comparable to consumer price index (CPI) increases, at least in the foreseeable future. In a retreating market, CPI increases are better for a tenant, as are market reviews. Landlords will prefer CPI and market reviews in rising markets only.</p>
<p>Tenant chattels should be itemised carefully. A list should be carefully compiled of what is to be retained at the end of the lease as fixtures, as opposed to what should otherwise pass to the landlord, will need to be noted. This will likely include some of the more valuable fit out items, or items which are brand related such as signage. It may also include items that carry the brand colours.</p>
